MCQ 69.2: What if in above question, Mr. X was holding directorship in one company but resigned from that company on 28th Feb 2018?

This post of MCQ is on concept relating to provisions relating to updation of KYC of directors in MCA in a case where director do not hold any directorship as at 31st March 2018.

 

Answer to MCQ 69.1: C) He is required to file the form since he is holding DIN as on 31st Mar 2018.

 

Answer to MCQ 69.2: C) He is required to file the form since he is holding DIN as on 31st Mar 2018.

 

Practical Analysis for MCQ 69.1& 69.2:-

  1. The Ministry of Corporate Affairs as part of updating its registry, is conducting KYC of all Directors of all companies annually through a new eform viz. DIR-3 KYC.

 

  1. Every Director who has been allotted DIN on or before 31st March, 2018 and whose DIN status is ‘Approved’ would be mandatorily required to file form DIR-3 KYC.

 

  1. Filing of DIR-3 KYC would be mandatory for Disqualified Directors.

 

  1. Due date of filing of DIR-3KYC is on or before 31st August, 2018.

 

  1. In case of Indian nationals, Income-tax Permanent Account Number (Income-tax PAN) is mandatory in all cases even if there is no change in Income-tax PAN. In such cases, director details should be as per Income-tax PAN. In case the details as per Income-tax PAN are incorrect, director/designated partner is advised to first correct the details in Income-tax PAN.

 

  1. Mandatory Information which is required in DIR-3 is – Unique Personal Mobile Number, Personal Email ID, One time Password (OTP) on Email ID and OTP on Mobile No.

 

  1. The eform has to be certified by Practicing CS/CA/CWA.

 

  1. If director fails to file DIR-3 KYC, the MCA 21 system will mark all approved DINs (allotted on or before 31st March 2018) against which DIR-3 KYC form has not been filed as ‘Deactivated’ with reason as ‘Non-filing of DIR-3 KYC’.

 

  1. After the due date of filing DIR-3 KYC in respect of such deactivated DINs shall be allowed upon payment of a specified fee only, without prejudice to any other action that may be taken.

 

  1. MCA notifies ‘Nil Fee’ and ‘Delayed Fee of Rs. 5,000’ for Filing e-Form DIR-3 KYC under rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014, applicable w.e.f. 10th July 2018.

 

 

IF A PERSON NOT HAVING DIRECTORSHIP IN ANY COMPANY, HOWEVER HOLDING DIN WHETHER SUCH PERSON REQUIRED TO FILE E-FORM DIR-3 KYC?

 

  1. As per Rules, every person holding DIN have to file e-form DIR-3 KYC, irrespective whether such person having directorship in any Company or not.
  2. Therefore, we can opine that directorship is not any base for filing of DIR-3 KYC. Base for the same is DIN. If person having DIN as at 31st Mar 2018, its mandatory to file DIR-3 KYC.

 

  1. Based on the above analysis, correct answer MCQ 1: C) He is required to file the form since he is holding DIN as on 31st Mar 2018.

 

  1. Correct answer MCQ 69.2 : C) He is required to file the form since he is holding DIN as on 31st Mar 2018.
